Billing Agreement

1. Scope

The Common Grant Application® system is a Web-based service that allows grantmakers and applicants to view each others' profiles, backgrounds, activities, and funding interests; and submit, receive, review, track, and manage applications. Common Grant Application Users can change their personal information at any time, control how other Users see this information, and control how other Users and the website's services communicate with them.

This Billing Agreement is a binding contract between You and the Common Grant Application ("CGA"), which is a project of Oceanpeak, Inc. ("Oceanpeak"). For purposes of this Billing Agreement, CGA and Oceanpeak are used interchangeably. Read the terms and conditions of this Billing Agreement carefully before accessing or using the CGA website ("website") located at www.commongrantapplication.com (including any successor sites). Your access to and continued use of this website constitutes Your acceptance, without limitation, of the terms and conditions of this Billing Agreement. If You do not agree to be bound by these terms and conditions, You may not access or use this website.

2. General

Applicants will not be charged to open or setup an account and enter information about their organization or programs. Applicants will not pay any monthly subscription fee or any fees for applications submitted to grantmakers.

3. Billing plans

Each grantmaker is assigned a billing plan upon their registration and initial login. Your billing plan was automatically set to an agreed upon plan at the time your account migrated from another service provider or organization, or to the billing plan in effect the first time you logged into your account.

4. Applicant and grantmaker application charges

Grantmakers will be charged a fee for each application received from an applicant. There are a number of steps used to determine the per application fees that are charged to the grantmaker upon successful submission of an application from an applicant to a grantmaker. Nothing is charged to the grantmaker if the application is not successfully submitted to the grantmaker. The aggregate application volume is independently cumulative over the course of the lifetime of the grantmaker user account. The charges to the grantmaker are determined in the following order: Charge the applicant nothing and charge the grantmaker the per application rate.

5. Grantmaker subscription charges

Grantmakers will pay a monthly subscription fee. The fee will be based on the total amount of the grants the grantmaker makes per year as reported in the 990 or 990PF at the end of the preceding year. The monthly subscription fee will start being charged when the grantmaker starts accepting applications for consideration. Grantmaker subscription fees are charged in advance for the upcoming month of service. Each billing cycle runs from the 1st of the month to the end of the month (either the 28th, 29th, 30th, or 31st, depending on the month). If the grantmaker starts accepting applications for consideration on the 1st of the month, the first charge will consist of one full month. Otherwise the first charge will consist of the pro-rated amount of the month the grantmaker joined plus the charge for the next full month. Subsequent charges will be made one full month at a time. The pro-rated month's charge is calculated by dividing the subscription fee monthly rate by the number of days in the month, and then multiplying this by the number of days left in the month. For example, if the monthly subscription fee is $60 and the grantmaker starts accepting applications on the 10th of a month that is 30 days long, the pro-rated subscription charge will be $60, divided by 30, then multiplied by 20 days, for a total of $40.

6. Refunds and proration

In general, grantmaker per application fees are only charged to the user account upon successful submission of an application from an applicant to a grantmaker. The Common Grant Application provides a service that facilitates the grantseeking and grantmaking process. It does not have any responsibility or control over the information provided by, or the decision making process of applicants or grantmakers. It has no responsibility or control over whether an application is accepted or declined by a grantmaker or withdrawn by an applicant. Application fees are not refundable other than for a verifiable technical problem. Grantmaker monthly subscription fees are charged in advance for upcoming month of service and are not refundable or prorated if a grantmaker decides to discontinue use of the service. To avoid being charged the subscription fee for an upcoming month, the grantmaker must request closing of the account no later than the end of the month.

CGA allows Users to pay subscription or application fees online using a credit or debit card. The per application feature is designed to accept one credit or debit card transaction if the applicant clicks the application "Submit" one time. However, if the applicant clicks the application "Submit" more than once, it is possible the grantmaker account will have a duplicate charge. CGA will reverse charges for any duplicate transaction. However, neither CGA nor its third-party banking service providers will be responsible for refunding any processing fees incurred by the incorrect use of this feature.

8. Waivers for applications

Not applicable to this version of the Billing Agreement.

9. Closing your account

To close your account, please contact us. We'll confirm when the account has been closed. Refunds and proration for any applicant and grantmaker fees are described in a preceding section of this Billing Agreement. Surviving terms of the agreement are described in the User Agreement.

10. Taxes

All fees charged by CGA are exclusive of all sales, use, and other taxes, and all other governmental charges and assessments.

11. Currency

All fees are charged and payable in US Dollars.

12. Modification

CGA reserves the right, in its sole discretion, to modify, alter, or otherwise revise the features, services, and pricing of this website without prior notice. CGA also reserves the right, in its sole discretion, to modify, alter, or otherwise revise this Billing Agreement at any time by posting such modified versions on the website. You agree to monitor regularly the Billing Agreement as it appears on the website. Your continued use of the website after the posting of any modified versions shall constitute Your agreement to the modified Billing Agreement.
